1. General Provisions These Terms of Use ("Terms") govern your access to and use of the website www.rengine.ch (the "Site") and any interactive 3D product configurators, software, or services provided by Rengine (CHE-436.488.894, Basel, Switzerland). By accessing the Site, using our 3D configurators, or engaging us for services, you ("User", "Client", or "You") agree to be bound by these Terms. If you do not agree to these Terms, please do not use the site or our services. Governing Law: These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

2. Intellectual Property Rights (Split-IP Model)
Rengine follows a split-IP model that balances client ownership of their brand assets with Rengine's ability to reuse proprietary methodologies. All rights are defined as follows:
2.1 Client-Owned IP All 3D models, textures, and visual assets created specifically for the client's product are assigned to the client upon full payment. The client receives full, exclusive, worldwide, perpetual ownership of these assets, including the right to modify, redistribute, and sublicense them. 2.2 Rengine-Owned IP Rengine retains ownership of all reusable frameworks, interaction templates, code libraries, and development methodologies created independently or accumulated across projects. This includes, but is not limited to, drag-to-rotate modules, exploded-view logic, and UI component templates. The client receives a non-exclusive, perpetual, worldwide, royalty-free license to use these components as embedded in their delivered configurator. The client may not extract, resell, or re-engineer these underlying components for use in other projects. 2.3 Third-Party IP Open-source components (Blender, Three.js) remain under their respective licenses (GPLv3, MIT). Commercial tools (Verge3D) remain under their vendor's license. Rengine ensures all third-party IP is used in compliance with its respective terms. The client acknowledges that their usage of the delivered configurator is subject to these third-party licenses where applicable. 2.4 Confidentiality Client product data, specifications, and unreleased designs are treated as confidential information and are not shared with third parties or reused for other clients without explicit written consent. Exceptions apply solely to data processors contractually required for infrastructure operations (e.g., Infomaniak hosting, Tresorit storage), who are bound by equivalent confidentiality obligations under Swiss nDSG/GDPR

3. Nature of 3D Visualizations & Disclaimer of Warranties 
3.1 Visual Representation Only Our 3D configurators and visualizations are intended for marketing, sales support, and demonstration purposes only. They are NOT engineering drawings, technical specifications, or blueprints. 3.2 No Warranty of Accuracy While we strive for high fidelity: No Guarantee: We do not guarantee that the visual representation perfectly matches the physical dimensions, tolerances, materials, or performance of the actual manufactured product. Verification Required: Clients must verify all critical dimensions, fitment, and technical specifications against the official native CAD files (STEP/IGES) or technical datasheets before manufacturing, ordering parts, or making investment decisions. Liability Limit: Rengine shall not be held liable for any errors, omissions, or damages resulting from reliance on the visual accuracy of the 3D models.
3.3 "As Is" Basis The Site and services are provided on an "as is" and "as available" basis. Rengine makes no warranties, expressed or implied, regarding the uninterrupted availability, security, or error-free operation of the 3D applications.
4. User-Uploaded Data & CAD Files
4.1 Client Responsibility If you upload files (e.g., STEP, IGES, STL, GLB) to our secure portal for processing: You warrant that you own the intellectual property rights to these files or have explicit permission from the owner. You indemnify Rengine against any claims arising from unauthorized use of uploaded CAD files.
4.2 Security & Viruses While we implement industry-standard security (encryption via Tresorit, secure hosting on Infomaniak), you are responsible for scanning all uploaded files for viruses prior to submission. Rengine is not liable for any damage to your systems or data resulting from viruses contained in files you upload.
4.3 Data Retention & Deletion Uploaded CAD files are stored securely for the duration of the project. Unless a specific retention period is agreed upon in a contract, all client files will be permanently deleted from our servers 30 days after project completion. We are not responsible for the recovery of deleted files.

5. Limitation of Liability To the fullest extent permitted by Swiss law: Indirect Damages: Rengine shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business interruption, even if advised of the possibility thereof. Cap on Liability: In the event of proven direct damages caused by Rengine's gross negligence or willful misconduct, our total liability shall be limited to the total amount paid by the Client for the specific service/project giving rise to the claim.

6. Third-Party Software Our services utilize third-party open-source and commercial frameworks, including Blender, Three.js, and Verge3D (Soft8Soft). These components are governed by their own respective licenses and terms. Your use of these tools through our platform does not create a contractual relationship between you and the third-party developers. Rengine acts solely as an integrator and host; we do not provide warranty or support for the underlying third-party software itself.

7. Privacy & Data Protection Your use of our Site is also governed by our Privacy Policy, which is incorporated herein by reference. By using the Site, you consent to the collection and use of information as described in the Privacy Policy (hosting on Infomaniak, no tracking cookies, etc.).

8. Dispute Resolution & Jurisdiction Amicable Settlement: In the event of a dispute, the parties shall first attempt to resolve the matter amicably through good-faith negotiations. Exclusive Jurisdiction: If a resolution cannot be reached, the exclusive place of jurisdiction for all disputes arising from these Terms or the service shall be Basel-Stadt, Switzerland. Language: In case of a legal dispute, the German version of these Terms shall prevail over any translation.

9. Modifications to Terms We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site after such changes constitutes your acceptance of the new Terms.

10. Severability If any provision of these Terms is found to be invalid or unenforceable under applicable law, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid clause that most closely approximates the original intent.
